Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of the website, client portal, and services (collectively, the "Services") provided by RootTeck ("RootTeck," "we," "us," or "our"), operated by [Legal Entity Name], registered at [Registered Business Address]. By creating an organization, registering an account, or otherwise using the Services, you agree to be bound by these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use the Services.

2. Accounts and Organizations

Access to RootTeck is organized around a single organization (your company or workspace), created by the first user to register. That user becomes the organization's initial account holder; RootTeck staff may subsequently grant additional users access at the organization's request.

• You must provide accurate, current information when registering, and keep it up to date.
• You are responsible for safeguarding your account credentials and for all activity under your account.
• Email addresses must be verified before full access to the client dashboard is granted.
• You must notify us promptly of any unauthorized use of your account.

3. Services

RootTeck provides:

• Custom software development — web, backend/systems, and mobile application development, delivered as scoped projects with milestones.
• Domain registration — domain name search and registration, fulfilled by our team through upstream domain registrars.
• Hosting — tiered hosting plans for websites and applications.
• Reseller program — the ability to bundle domains and hosting under your own brand.
• Support — a ticketing system and knowledge base for account, billing, and technical questions.

We may add, modify, or discontinue individual Services at any time; material changes affecting active subscriptions will be communicated in advance where reasonably possible.

4. Domain Registrations

Domain orders are submitted through the client portal and completed manually by RootTeck staff after checkout — registration is not instantaneous. By ordering a domain, you agree that:

• Domain availability and pricing are subject to change until registration is confirmed.
• All domain registrations are subject to the policies of the relevant registry and registrar (including ICANN, where applicable), in addition to these Terms.
• You are responsible for renewing domains before expiry; RootTeck is not liable for a domain lapsing due to non-renewal.
• You must provide accurate registrant contact information; providing false WHOIS information may result in suspension by the registry, independent of RootTeck.

5. Hosting Services

Hosting plans are provisioned according to the resource limits (storage, bandwidth, email accounts, databases) described for the selected tier at the time of purchase. You agree not to use hosting resources for:

• Illegal content or activity, including malware distribution or phishing;
• Sending unsolicited bulk email (spam);
• Activity that materially degrades shared infrastructure for other clients.

We may suspend hosting for a violation of this section after providing notice where practical, or immediately where necessary to protect our infrastructure or other clients.

6. Custom Development Projects

Custom projects are scoped individually and tracked via milestones in the client dashboard. Unless otherwise agreed in a separate statement of work:

• Project fees are invoiced per milestone as work is completed and accepted.
• Material changes to agreed scope may result in a revised timeline and/or fee, communicated before work proceeds.
• Deliverables are licensed to you upon full payment for the applicable milestone, except for RootTeck's own pre-existing tools, frameworks, and libraries, which remain our property and are licensed to you for use with the delivered project.

7. Fees and Payment

• Fees are quoted in USD unless stated otherwise, and are payable via the payment methods presented at checkout (which may include Stripe, M-Pesa, or EVC Plus, depending on your organization's primary market).
• Invoices are payable by the due date shown; overdue invoices may result in suspension of the associated service until paid.
• You are responsible for any taxes applicable to your purchase, excluding taxes on RootTeck's own income.

8. Refunds and Service Levels

Refund eligibility and our hosting/support service level commitments are set out in our separate Refund & SLA Policy, which forms part of these Terms.

9. Acceptable Use

In addition to the hosting-specific restrictions above, you agree not to use the Services to: violate any applicable law; infringe another party's intellectual property or privacy rights; transmit malicious code; or attempt to gain unauthorized access to RootTeck's systems or another client's data.

10. Intellectual Property

You retain ownership of content, code, and materials you upload or that are built specifically for you under a paid project, subject to full payment as described in Section 6. RootTeck retains all rights to its own platform, pre-existing tools, templates, and internal software, none of which are transferred by virtue of using the Services.

11. Confidentiality

Each party agrees to protect the other's non-public business information shared in the course of the Services with the same care it uses for its own confidential information, and not to disclose it to third parties except as needed to perform the Services (for example, to payment processors or domain registrars) or as required by law.

12. Termination

You may stop using the Services and request account closure at any time by contacting support. We may suspend or terminate your access for material breach of these Terms, non-payment, or if required by law, with notice where practical. Termination does not entitle you to a refund except as set out in the Refund & SLA Policy.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available." Except as expressly stated in our SLA, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

14. Limitation of Liability

To the fullest extent permitted by law, RootTeck's aggregate liability arising out of or relating to the Services shall not exceed the amount you paid to RootTeck for the specific Service giving rise to the claim in the twelve (12) months preceding the event. RootTeck is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss.

15. Indemnification

You agree to indemnify and hold RootTeck harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services in violation of these Terms or applicable law, including content you upload or domains you register.

16. Governing Law

These Terms are governed by the laws of [Governing Law Jurisdiction], without regard to conflict-of-law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction, unless otherwise required by applicable law.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date on this page; where changes materially reduce your rights, we'll make reasonable efforts to notify active clients in advance.
